Corporate Documents
- Certificate of Incorporation, MOA and AOA (latest)
- Board resolution authorising borrowing and creation of security
- Shareholders' resolution under Section 180(1)(c) where applicable
- List of directors, DIN and disqualification status
- Latest shareholding pattern certified by company secretary
KYC
- Promoter PAN, Aadhaar, passport, photograph
- Promoter net-worth statement certified by a chartered accountant
- Group structure chart with shareholding percentages
- PEP / sanctions / adverse-media declarations
- FATCA / CRS declarations for non-resident shareholders
Financial Documents
- Audited financials — last 3 years with all schedules
- Provisional financials for the current year
- CMA data (for working-capital facilities)
- Projected financials covering the loan tenor
- Account statements of all operating accounts — last 12 months
Security & Collateral
- Title documents for immovable property offered as security
- Search and chain-of-title report from approved advocate
- Valuation report from empanelled valuer (not older than 6 months)
- Hypothecation deed for movable assets and current assets
- Personal / corporate guarantee deeds where applicable
Transactional & Regulatory
- Sanction letter acceptance and processing fee confirmation
- Loan agreement, deed of hypothecation, indemnity bond
- Power of attorney for security creation and ROC filings
- CERSAI and ROC charge filings (Form CHG-1) within statutory timelines
- Insurance policies endorsed in favour of the lender
Disbursement Conditions
- Compliance with all conditions-precedent in the sanction letter
- End-use undertaking and disbursement request letter
- Escrow / TRA account opening and signatory mandates
- Post-disbursement compliance calendar (covenants, MIS, audits)
- Insurance, ROC and CERSAI evidence shared with lender

- Beyond the executed loan agreement, lenders typically require corporate authorisations, KYC, audited and projected financials, security and valuation documents, ROC and CERSAI charge filings, insurance endorsements and satisfaction of every condition precedent.
- How long does documentation take after sanction?
- Two to six weeks is typical. Delays almost always come from title and valuation reports, charge filings, or missing corporate resolutions rather than from the lender.
